ARTICLE I-Fiscal Year
Section 1. The Section shall conduct its operations, including terms of office,
and other business on a fiscal year basis starting on October 1 of each year and
ending September 30 of the following year.
ARTICLE II-Section Dues
Section 1. Annual Section dues shall cover the period of the fiscal year and
shall become payable upon receipt of a statement issued by the Treasurer or the Society to
all Assigned Members of the Section.
Section 2. There shall be no Section dues charged to persons
who have been officially designated as Life Members of the Society.
ARTICLE III-Nomination and Election of Officers
Section 1. The Nominating Committee shall consist of the retiring President, the
President Elect, the Vice President of Information Services, and such other members as may
be appointed by the Section Board.
Section 2. The Nominating Committee shall choose one or more
candidates for election to each of the offices prescribed in the Constitution and obtain
the consent of the nominees to serve if elected. Additional candidates may be nominated by
written petition containing signatures of at least ten Subscribing Members and the consent
of the nominee to serve if elected.
Section 3. The names of all nominees, whether selected by the
Nominating Committee or by written petition, shall be submitted to the Section Board at
least 60 days before the end of the Section fiscal year.
Section 4. The Secretary shall mail a letter ballot,
containing the names of all nominees and space for a write-in-vote for another candidate
for each office to each Subscribing Member not less than 20 days prior to the end of the
Section fiscal year.
Section 5. All ballots returned to the Secretary prior to the
end of the Section fiscal year shall be counted by three tellers appointed by the Section
Board. The tellers shall report the results of the election to the Section Board prior to
the Annual Meeting. The candidate receiving the greatest number of votes for each office
shall be declared elected. In the event of a tie vote between nominees receiving the
greatest number of votes for any office, the newly elected Section Board shall declare one
of the tied nominees elected.
ARTICLE IV-Section Committees
Section 1. Section Committees to assist the Section Board or serve Section
Members shall be established by the Section Board.
Section 2. Each committee shall consist of a Chairperson and
not less than two other members.
Section 3. The Section Board may inactivate Section
Committees when the Committee function is no longer required, the Committee is inactive or
has very limited activity, or the Section Board assumes responsibility for the Committee s
activities.
ARTICLE V-Section Meetings and Section Board Meetings
Section 1. Notice of each Section Meeting shall be sent to each Subscribing
Member of the Section prior to the meeting date.
Section 2. Meetings of the Section Board shall be held from
time to time at the discretion of the President, or by a majority decision of the Section
Board, to conduct such business as properly comes under its authority.
Section 3. The Section Board may only conduct Section
business if a quorum is present. A quorum is 40 percent of the Section Board Members.
ARTICLE VI-Bylaw Amendments
Section 1. These Bylaws may be amended only by the following procedure:
(a) A proposed amendment(s) to these Bylaws must be submitted
to the Section Board in a written petition signed by not less than 15 Subscribing Members
of the Section or such petition may be originated by the Section Board.
(b) The Secretary shall prepare ballots presenting the
proposed amendment(s) and distribute the ballots by mail to all Subscribing Members of the
Section. All ballots returned within 60 days following their distribution shall be counted
by three tellers appointed by the Section Board. Tellers shall promptly report the results
of the amendment ballot to the Section Board.
(c) To be adopted, the proposed amendment(s) shall receive an
affirmative vote from a majority of the Subscribing Members voting either affirmatively or
negatively on the proposed amendment(s).
Constitution of the
Minnesota Section American Society of Civil Engineers
(As Amended September 22, 1992)
ARTICLE I - Name, and Objective
Section 1. The name of this organization shall be the Minnesota Section American
Society of Civil Engineers (hereinafter Section).
Section 2. The objective of the Section shall be the
advancement of the science and profession of engineering, in a manner consistent with the
objectives of the American Society of Civil Engineers (hereinafter Society).
ARTICLE II Membership
Section 1. All members of the Society of all grades, whose addresses are within
the boundaries of the Section, as defined by the Society, shall be Assigned Members of the
Section. All Assigned Members of the Section, subscribing to the Constitution and Bylaws
of the Section, as evidenced by the payment of current Section dues, and all Assigned
Members of the Section who are Life Members of the Society shall be Subscribing Members of
the Section.
Section 2. Only Subscribing Members of the Section shall
have the right to vote, to hold office, or to represent the Section officially.
ARTICLE III-Section Dues
Section 1. There shall be no entrance fee.
Section 2. Annual Section dues for each Assigned Member
shall be determined by the Section Board of Directors.
ARTICLE IV-Officers
Section 1. The Section Officers shall be a President, a President-Elect, a
Vice-President-Information Services, a Secretary, a Treasurer, and two Directors, all of
whom, together with the latest Section Past-President, shall constitute the Section Board
of Directors (herein after Section Board) in which the governing of the Section shall be
vested.
Section 2. Section Officers, except the President, shall be
elected annually. The terms of the office shall be as follows:
President: One year following one year as
President-Elect.
President-Elect: One year to be followed by one year as President.
Other officers: One year.
Terms shall begin on the first day of the Section fiscal
year and shall continue until the successors take office. The procedure for the election
of officers shall be as stated in the Bylaws. Only Subscribing Members of the Section
shall be eligible for election to office. The duties of the officers shall be those usual
for each office.
Section 3. A vacancy in the offices of President and
President-Elect shall be filled by the President-Elect and Vice President Information
Services, respectively. Other vacancies shall be filled for the duration of the unexpired
term by appointment by the Section Board.
ARTICLE V-Meetings
Section 1. The Annual Meeting shall be held during the first month of the fiscal
year of the Section, as stated in the Bylaws, and at such place as the Section Board shall
designate. Other meetings shall be called at the discretion of the Section Board, or by
the President upon the written request of not less than ten Subscribing Members of the
Section.
ARTICLE VI-Branches
Section 1. Branches of the Section may be created in accordance with the
following requirements:
(a) Those persons proposing a new branch shall demonstrate
in writing how it will be of advantage to members in the Section to have such a branch.
(b) A proposed branch area shall contain not less than 30
Assigned Members.
(c) A proposed branch shall have distinct boundaries as
stated in the petition for its establishment.
(d) A proposed branch shall be approved by the Society.
ARTICLE VII-Constitution Amendments
Section 1. This Constitution may be amended only by the following procedures:
(a) A proposed amendment(s) of this Constitution must be
submitted to the Section Board in a written petition signed by not less than 15
Subscribing Members of the Section.
(b) The Secretary shall prepare ballots presenting the
proposed amendment(s) and distribute the ballots by mail to all the Subscribing Members of
the Section. All ballots returned within 60 days following their distribution shall be
counted by three tellers appointed by the Section Board. Tellers shall promptly report the
results of the amendment ballot to the Section Board.
(c) To be adopted, the amendment(s) shall receive an
affirmative vote of not less than two-thirds of the Subscribing Members voting either
affirmatively or negatively on the proposed amendment(s).
(d) The proposed amendment(s) shall be approved by the
Society before becoming effective.
ARTICLE VIII-Bylaws
Section 1. The Section shall adopt Bylaws consistent with this Constitution which
may be required or desirable for the guidance of its officers and members.
ARTICLE IX-Miscellaneous Provisions
Section 1. No part of the net earnings of the Section shall inure to the benefit
of any private shareholder or individual and no substantial part of the activities of the
Section shall be carrying on propaganda, and the Section shall not participate in, or
intervene in (including the publishing or distributing of statements), any political
campaign on behalf of any candidate for public office.
Section 2. Upon dissolution of the Section, the assets
remaining after the payment of the debts of the Section shall be distributed to such
corporation, community chest, fund, or foundation, organized and operated exclusively for
religious, charitable, scientific, testing, for public safety, literary or educational
purposes, or for the prevention of cruelty to children or animals, which would then
qualify under the provisions of Section 501(c)(3) of the Internal Revenue Code, as
they now exist or as they may hereafter be amended, as the Section Board shall have
designated and in the absence of such designation they shall be conveyed to the Society.
